Terms of Service

The short version. AgentWarden watches what AI coding agents do on your computer and tells you when something does not match what you asked for. It runs on your device; your code and transcripts stay there. The Free plan is free forever. Pro is a subscription you can cancel at any time, with a 14-day money-back promise on your first payment. No security tool catches everything, and AgentWarden is not a substitute for your own judgement, backups or other security software. If you are a consumer in the EU, nothing here takes away the rights the law gives you.

1. Who we are and what these terms cover
AgentWarden is made and sold by PRAESI TECHNOLOGIES LTD, a company registered in the Republic of Cyprus under number HE 483138, with its registered office at Aftokratora Ioustinianou 10, Block B, 1st floor, Office 101, Nicosia, Cyprus (“PRAESI”, “we”, “us”). You can reach us at operations@praesi.ai.
These Terms of Service (“Terms”) govern your use of:
- the AgentWarden applications for macOS, Windows and Linux, and the AgentWarden companion app for iPhone (together, the “Software”);
- the detection rules, agent catalogue and decoy definitions we publish for the Software (the “Rules”);
- our website at https://www.praesi-technologies.shop, the licensing, trial, referral and phone-relay services, and update feeds (together with the Software and Rules, the “Service”).
Our Privacy Policy explains what personal data we handle and why. Our Refunds & Withdrawal page explains cancellations and refunds. Both form part of these Terms.
2. Accepting these terms
You accept these Terms when you download, install or use the Software, start a trial, or buy a subscription. They are linked where you download the Software and start a trial, shown when you install it and when you first run it, and always available from the Software’s Help menu. If you do not accept them, do not use the Service.
If you use the Service for a business, you confirm that you are authorised to accept these Terms for it, and “you” includes that business. You must be at least 18, or the age of majority where you live, to buy a subscription.
3. What AgentWarden does
AgentWarden is security monitoring software for AI agents (such as Claude Code, Codex, Cursor and others) running on your own computer. Depending on your plan and settings it:
- reads the session logs those agents write on your device and compares what they do against what you asked them to do;
- looks at the processes, network connections and startup items those agents create;
- scans installed agent skills, plugins and MCP servers for known attack patterns;
- checks your computer’s security settings and reports on them (it does not change them);
- if you turn on tripwires, creates clearly marked decoy files in your home folder that should never be touched, and alerts you if an agent reads them;
- if you turn on containment, installs a hook into supported agents that can refuse or redirect a single action, and, only after a rehearsal period on your own machine and only for a session it judges hijacked, pause that agent’s process. It never stops your own terminal, shell or remote-access software;
- sends alerts to you by notification, and, if you set them up, by your own email account or to your paired iPhone.
All analysis happens on your device. What leaves it is described in the Privacy Policy.
4. What AgentWarden does not do (please read)
We work hard to make AgentWarden accurate, and we publish its limits openly on our website and in the app. You agree that you understand the following:
- No tool catches everything. AgentWarden reduces risk; it does not eliminate it. An attack it has no rule for, an agent whose logs it cannot read, or an action taken while it is not running may go unnoticed.
- It can be wrong. It may flag legitimate work (a false positive) or miss harmful work (a false negative). Its verdicts are judgements to help you decide, not facts.
- It is not an antivirus engine for ordinary malware and does not replace your operating system’s protections, backups, access controls or other security products. “Antivirus for AI” describes what it is for, not a certification.
- Containment is limited by design. When it acts, it pauses one process or refuses one action. That can interrupt an agent’s work in progress. It does not undo anything an agent has already done.
- You stay in control of your agents. You decide which agents to run, what access to give them and what to ask them to do. AgentWarden does not supervise the AI providers themselves and is not affiliated with them.
5. Your licence
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software, for as long as these Terms apply to you, on devices you own or control:
- Free plan: one device, for as long as you like.
- Pro plan: up to the number of devices shown when you bought it (currently three), for the paid period.
- Trial: Pro features on your devices for the trial period (currently 14 days), once per person.
The Software is licensed, not sold. We and our licensors keep all rights not expressly granted. Open-source components included in the Software are licensed to you under their own licences, listed on our Open-Source Licences page; nothing in these Terms restricts rights those licences give you.
You may not
- share, resell, rent or sublicense a licence key, or use one on more devices than it covers;
- remove, bypass or tamper with licence checks, update signatures or the signature on the Rules;
- reverse engineer, decompile or disassemble the Software, except to the extent the law allows you to do so regardless of this restriction (for example, to achieve interoperability under the EU Software Directive);
- use the Service to monitor another person’s device or activity without their knowledge and lawful basis;
- use the Service, its Rules or its decoys to develop, test or improve techniques for evading security software, or to attack any system you are not authorised to test;
- interfere with or overload our services, or access them other than through the Software and website.
Security researchers acting in good faith under our Security policy are welcome to test the Software on their own devices.
6. Subscriptions, trials and payment
Prices and VAT
Prices are shown in euro, for monthly and yearly plans alike. The price shown is the total you are charged: nothing is added at checkout, the total is shown again before you pay, and your receipt shows what you paid.
Billing and renewal
Payment is taken by our payment processor, Stripe. Monthly plans renew every month and yearly plans every year, at the price shown to you when you subscribed, until you cancel. We will email you before a yearly plan renews. If we change the price, we tell you at least 30 days before it applies to you, and you may cancel before then. If you subscribed before 31 December 2026, we do not raise your price for as long as your subscription stays active.
Cancelling
You can cancel at any time from the link in your receipt email or by writing to us. Cancelling stops the next renewal; Pro stays active until the end of the period you have paid for. When a subscription ends, the version of the Software you have keeps working on the Free plan. You are never left unprotected because a payment lapsed.
Trials
A trial needs no payment card and ends by itself. It does not turn into a paid subscription unless you buy one.
Pro for Teams
A team licence covers the number of people you pay for, each on up to three computers, and is billed yearly per person. The buyer manages it: who holds a seat, removing computers, and changing the number of people. When you change the number of people, the price is adjusted pro rata for the rest of the billing year, as shown on the billing page before you confirm. The licence is for your organisation's own staff and contractors, not for resale.
Referrals
If you refer someone who later pays, we extend your Pro licence as described on the website at the time (currently one month for each person who subscribes, up to three), and the person you referred gets the discount shown there (currently 20% off their first payment). Referral rewards have no cash value, may not be exchanged or sold, and are limited to genuine referrals of other people. We may withhold rewards obtained by self-referral, disposable addresses or other abuse.
7. Your right to withdraw (EU and UK consumers)
If you are a consumer in the EU or UK, you normally have 14 days to withdraw from an online purchase. For digital content supplied immediately, that right ends once supply begins, but only if you expressly asked for immediate supply and acknowledged you would lose the right. We ask for that at checkout.
Whatever you choose, we offer a voluntary 14-day money-back promise on your first payment for Pro. The details, and how to use it, are on the Refunds & Withdrawal page.
8. Updates and Rules
We improve AgentWarden continuously. The Software checks for signed updates to itself and to the Rules and installs them automatically where your settings allow. We sign every update and every Rules bundle; the Software refuses anything whose signature does not match. Updates may add, change or remove features. We will not remove a feature you paid for during a paid period without offering you a pro-rata refund.
As required by EU law, we keep the Software in conformity for the period you would reasonably expect, and supply security updates during it. We aim to support each major operating-system version for as long as its maker does.
9. Your content and decoy files
Your code, prompts, transcripts and files remain yours. The Software reads them on your device only to protect you and does not send them to us.
Decoy files are created only if you turn on tripwires. They are clearly marked, contain no real secrets, never overwrite an existing file, and are removed when you turn tripwires off. Please do not put real information into them.
You are responsible for keeping backups of your data. The Software does not delete your files.
10. Third-party agents, services and trademarks
AgentWarden works alongside AI agents and tools made by other companies. We are not affiliated with, endorsed by or sponsored by Anthropic, OpenAI, xAI, Google, Microsoft, Apple, GitHub, Cursor or any other provider named on our website or in the Software. Their names are trademarks of their owners and are used only to say which products AgentWarden works with. Your use of those products is governed by their own terms.
Changes made by those providers (for example, to where or how their agents write logs) may temporarily affect what AgentWarden can see. We aim to adapt quickly through Rules updates, but cannot guarantee it.
11. Our responsibility to you
If you are a consumer
We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, for business losses, or for loss caused by events outside our reasonable control. You have the legal rights that apply to digital content and services, including repair or replacement, a price reduction or a refund if the Software is faulty or not as described. Nothing in these Terms limits those rights.
If you are a business
To the fullest extent the law allows, the Service is provided “as is” and “as available”, and we exclude all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement. We are not liable for loss of profit, revenue, data, goodwill or business opportunity, or for any indirect or consequential loss. Our total liability arising out of or in connection with these Terms in any twelve-month period is limited to the greater of the amount you paid us in that period and one hundred euro (€100).
For everyone
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for anything else that cannot be limited or excluded by law.
12. Business customers: your responsibility
If you use the Service for a business, you will compensate us for reasonable losses and costs arising from third-party claims caused by your breach of section 5 (for example, using the Service to monitor people unlawfully), except to the extent caused by us.
13. Suspension and ending these terms
You can stop using the Service at any time by uninstalling the Software. Turn tripwires off first: that removes every decoy file AgentWarden created (and only those). We may suspend or end your licence if you seriously or repeatedly break these Terms, after telling you why and, where the breach can be fixed, giving you a reasonable chance to fix it. If we end a paid licence without such a reason, we refund the unused part of what you paid. Sections that by their nature should continue (including 4, 9, 11, 12 and 16) continue after these Terms end.
14. Export and sanctions
You may not use or export the Software in breach of EU, UN, UK or US sanctions or export-control laws, or on behalf of a person or country subject to them.
15. Changes to these terms
We may update these Terms, for example when the law or the Service changes. For material changes we give you at least 30 days’ notice in the Software or by email. If you do not agree, you may cancel before the change applies and we will refund any unused prepaid period. The version and date at the top of this page tell you which version applies.
16. Law, courts and complaints
These Terms are governed by the laws of the Republic of Cyprus. The courts of Cyprus have jurisdiction, except that if you are a consumer you keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in your own country’s courts.
If you have a complaint, please write to operations@praesi.ai first. We answer within 14 days and most problems are solved there. Consumers in Cyprus may also contact the Consumer Protection Service of the Ministry of Energy, Commerce and Industry; consumers elsewhere in the EU may contact their national consumer authority or the European Consumer Centre network.
17. General
If a court finds part of these Terms invalid, the rest stays in force. If we do not enforce a right straight away, we can still enforce it later. You may not transfer your rights under these Terms without our consent; we may transfer ours to a business that takes over the Service, and will tell you if we do, without reducing your rights. These Terms, with the pages they refer to, are the whole agreement between us about the Service. They are available in English; if we provide a translation, the English version prevails to the extent the law allows.
